Jill McDowell is Counsel to Impresa. Her practice focuses on counseling corporations operating in the private sector as well as those operating, in whole or in part, as government contractors. Jill advises her clients on, among other things, contract drafting and negotiation, compliance, corporate governance, risk management, audits, investigations and disputes.

Jill has served as counsel in corporate transactions totaling over a billion dollars. She has drafted, negotiated, and reviewed a wide range of contractual instruments including, but not limited to, teaming agreements, distribution agreements, subcontracts, licensing agreements, federal contracts, data rights agreements, technology transfers, professional services agreements, employment contracts, and real estate transactions. This extensive experience in transactional and contract-related matters is enhanced by Jill’s complimentary litigation experience. Because she has litigated numerous contract cases before federal district courts, the United States Court of Federal Claims, and boards of contract appeals, she is well positioned to assess contract terms with an eye towards areas of potential conflict and knows how courts interpret various contract provisions.

Moreover, Jill has significant experience helping companies defend against investigations, prosecutions and civil suits alleging fraud. She has also advised clients in other federally regulated industries, representing them in regulatory proceedings before the Federal Communications Commission, Surface Transportation Board, Federal Energy Regulatory Commission, and U.S. Consumer Product Safety Commission.

Jill has served as an attorney for such prominent law firms as Mayer Brown, Crowell & Moring, and Miller & Chevalier and as a Contract Specialist and Procurement Analyst for the United States Navy.
